Introduction
Welcome to BORDER STATE LOGISTICS LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website at https://borderlogisticsca.com (the “Site”) and all freight transportation, logistics, cross-border trucking, and related services (collectively, the “Services”) provided by BORDER STATE LOGISTICS LLC, a company located at 1556 Marl Ave, Chula Vista, CA 91911. By accessing the Site or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
Definitions
“Client” means any individual or entity that requests, books, or uses our Services. “Carrier” means BORDER STATE LOGISTICS LLC and any subcontracted motor carriers. “Shipment” means any cargo, goods, or freight tendered to us for transport. “Bill of Lading” means the document issued by the Carrier acknowledging receipt of cargo for transport. “Cross-Border” means transport between the United States and Mexico. “Force Majeure” means any event beyond our reasonable control, including acts of God, war, terrorism, civil unrest, customs delays, strikes, pandemics, or government actions.
Services
We provide general freight trucking, long-distance truckload (TL) transportation, cross-border trucking, logistics coordination, customs documentation assistance, and related services. All Services are subject to availability, applicable law, and the terms of the Bill of Lading. We reserve the right to refuse any shipment for any lawful reason, including unsafe, illegal, or improperly packaged cargo.
Bookings and Rates
All bookings are subject to acceptance by us. Quotes are valid for 7 days unless otherwise stated. Rates are based on information provided by the Client, including weight, dimensions, origin, destination, and commodity. If actual shipment details differ, we may adjust the rate. Payment terms are net 15 days unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month or the maximum permitted by law.
Client Obligations
You agree to: (a) provide accurate and complete shipment information; (b) properly package, label, and mark all cargo; (c) comply with all applicable U.S., Mexican, and international laws, including customs, import/export, and hazardous materials regulations; (d) ensure you have lawful authority to ship the cargo; and (e) not tender prohibited, illegal, or dangerous goods without prior written disclosure and our acceptance.
Customs and Cross-Border Compliance
Cross-border shipments require accurate documentation, including commercial invoices, packing lists, and customs declarations. You are responsible for the accuracy of all documentation. We may assist with documentation but do not act as a customs broker unless separately licensed. We are not liable for delays, fines, seizures, or losses caused by inaccurate, incomplete, or fraudulent documentation provided by you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY LOSS OR DAMAGE TO CARGO IS LIMITED TO THE LESSER OF: (a) THE ACTUAL VALUE OF THE CARGO; OR (b) $0.50 PER POUND PER PACKAGE, UNLESS A HIGHER VALUE IS DECLARED IN WRITING AND ADDITIONAL CHARGES ARE PAID. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, OR DELAY DAMAGES. CLAIMS MUST BE FILED IN WRITING WITHIN 9 MONTHS OF DELIVERY OR THE DATE DELIVERY SHOULD HAVE OCCURRED.
Indemnification
You agree to indemnify, defend, and hold harmless BORDER STATE LOGISTICS LLC, its officers, employees, and agents from any claims, damages, liabilities, fines, and expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your violation of any law; (c) inaccurate shipment information; or (d) the nature of the cargo tendered.
Insurance
We maintain commercial auto and cargo insurance as required by law. Clients are encouraged to maintain their own cargo insurance for high-value shipments. Certificates of insurance are available upon request.
Termination
We may suspend or terminate Services immediately if you breach these Terms, fail to pay, or tender unsafe or illegal cargo. You may cancel a booking with written notice; cancellation fees may apply if the truck has already been dispatched.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in San Diego County, California. You consent to personal jurisdiction there.
Dispute Resolution
The parties agree to attempt good-faith negotiation before litigation. If unresolved, disputes shall be resolved by binding arbitration in San Diego, California, under the rules of the American Arbitration Association, except where prohibited by law.
Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including weather, traffic, customs inspections, strikes, or government actions.
Entire Agreement
These Terms, together with any Bill of Lading and written quote, constitute the entire agreement between you and us and supersede all prior agreements.
